Terms of Service
The short version
- Flat pricing, plain rules. One price per plan, never per member, plus a platform fee on payments your club collects through LongTable. Upgrade, downgrade, or cancel whenever; download your club's records on your way out.
- Your club's data is your club's. You give us just enough permission to run the service for you, and nothing more.
- Dues are between your club and the people it bills. Payments run through your club's own account with Stripe, our payment processor, and we're not a party to those transactions. Payment questions go to Stripe, and money disputes between a club and its members go through Stripe, not LongTable.
- You're responsible for what your club sends and publishes (messages, texts, and the club website) and for having the right to put member info in the roster.
- The assistant drafts; people decide. Review what it produces. You own the actions you approve.
- Clubs and members are responsible for their own content and conduct, including at club events. You release LongTable from claims over disputes between members and clubs (see section 14).
- Disputes with LongTable go to individual arbitration, not court or class actions, unless you opt out within 30 days (see section 16).
The short version is a summary, not the agreement. The sections below govern.
1. The agreement
These Terms of Service are an agreement between LongTable Systems LLC, a Washington limited liability company ("LongTable," "we," "us"), and you. "You" means both the person using the service and, if you use it on behalf of a club, that club, and you represent that you have authority to bind it (for example, as an officer). By creating an account or using LongTable, you accept these terms and our Privacy Policy.
You must be at least 18 to create an account. LongTable is offered to clubs based in the United States and Canada. You represent that you aren't located in a country or region subject to comprehensive U.S. or Canadian sanctions, aren't on a U.S. or Canadian government list of prohibited or restricted parties, and won't use, export, or re-export the service in violation of U.S. or Canadian export control or sanctions laws.
2. Your club's account, officers, and roles
- Each club gets its own account (its roster, events, money records, site, and history are the club's own space).
- Clubs assign roles (president, treasurer, secretary, chairs), and each officer gets their own login. Officer logins are personal: keep credentials confidential and don't share a login between people. You're responsible for activity under your credentials; tell us promptly through our contact form if you suspect unauthorized access.
- The club (not LongTable) decides who its officers are and what roles they hold. Role changes and handoffs are recorded in the club history. If a club's leadership disputes who controls the account, we may rely on the club's own records (its bylaws, its recorded roles) and may freeze changes until the club resolves it.
- You'll give us accurate account information and keep it current. Don't create an account with false information or impersonate someone else (creating an account for a club you're authorized to act for is fine), and don't create extra logins to get around a suspension, a ban, or a plan limit.
- Club names, subdomains, and custom domains must not infringe a trademark or falsely suggest a connection with, or sponsorship by, any person or organization. If one does, if a third party has a claim to it that we reasonably believe is valid, or after the account closes and its export window ends, we may change or reclaim the club's LongTable subdomain or name, or stop serving its custom domain.
3. Plans, billing, and cancellation
- Flat pricing. Each plan has one flat price and a member cap. We never charge per member or per contact. Current plans and caps are published on our pricing page.
- Free plan. Clubs up to the free-plan member cap can use LongTable free, no card required. We may adjust what the free plan includes, with notice.
- Billing. Paid plans bill monthly or annually in advance through our payment processor and renew automatically for the same period until you cancel. Annual billing includes the discount shown on our pricing page. Prices exclude any applicable taxes, which you're responsible for.
- Free trials. If a paid plan starts with a free trial, the trial length is shown at checkout. When the trial ends, we charge the card you gave us for the plan you chose unless you cancel before then.
- Plan changes. A move to a more expensive plan takes effect right away, and we charge the prorated difference for the rest of the billing period. A move to a less expensive plan takes effect at your next renewal.
- Growing past your cap. Nothing breaks. We'll notify you and you can move up a tier when ready. We won't auto-charge you for a higher tier without your action.
- Changes to price. If we change a plan's price, existing subscriptions get at least 30 days' notice, taking effect at your next renewal. Prices never change per member within a tier.
- Cancellation and refunds. Cancel any time from your account settings; you keep access through the end of the paid period. Except where the law requires otherwise, payments are non-refundable, but if we materially fail to provide the service, contact us and we'll make it right. Where the law requires a refund, we'll pay it to the original payment method, or as account credit where the law allows.
- Payment method. You authorize us and our payment processor to charge the payment method on your account, including updated or replacement card details your card issuer or card network provides, for the fees you owe.
- Billing questions. If you think a LongTable subscription charge or platform fee is wrong, tell us through our contact form within 30 days of the charge. After 30 days the charge stands, except where the law gives you longer.
- Leaving. Download your member list, event guest lists, and dues and payment records as spreadsheets at any time, before or after canceling. See Suspension and termination for the post-cancellation export window.
4. Dues and member payments
- Clubs collect dues and event payments through the club's own account with our payment partner (Stripe), under the partner's own terms, including the Stripe Connected Account Agreement.
- Payments settle to the club's own account. We never hold your club's balance.
- LongTable charges a platform fee on each dues or event payment collected through the service, at the rate for the club's plan shown on our Pricing page. The payment partner's own processing fees are separate, and the partner charges them to the club directly. A club may choose to pass the platform fee on to the people it bills as a separate invoice line. A club that does so confirms it's allowed to, and is responsible for showing the fee before payment and for following the card-network rules and laws on fees and surcharges that apply to it.
- LongTable is not a party to payments between a club and its members, and is not a bank, money transmitter, or payment processor.
- The relationship is between the club and the people it bills. When a club bills its members, or anyone who pays on a member's behalf, the club is the seller, the person billed is the buyer, and Stripe is the payment processor. LongTable provides software that makes collecting easier, such as creating and scheduling invoices, sending reminders, and keeping payment records. LongTable doesn't set what a club charges, doesn't hold the money, and doesn't take part in the agreement between a club and the people it bills.
- Payment questions go to Stripe. Questions about a club's Stripe account, its verification, payouts, held funds, or Stripe's processing fees go to Stripe Support. LongTable's support team can help with LongTable's billing tools, but can't move, refund, reverse, or hold money.
- Disputes go through Stripe, not LongTable. Disagreements about money between a club and its members or payers, including refunds, disputed charges, and chargebacks, are resolved between them and through Stripe's processes. LongTable doesn't mediate or decide them.
- The club is responsible for accurately describing what it charges for and for complying with laws that apply to its collection of money (including any tax treatment of dues, donations, or event fees).
- We may suspend or turn off a club's payment tools if our payment partner requires it, to prevent fraud or a violation of these terms or card-network rules, or where the law requires.
5. Your club's content and data
- You own it. The roster, dues records, events, documents, minutes, newsletters, and club-site content your club puts into LongTable remain the club's. We claim no ownership.
- Our permission to operate. You grant us the non-exclusive right to host, store, process, transmit, and display club content solely to provide and improve the service, as described in the Privacy Policy (for example, sending the newsletter you wrote, rendering your club site to visitors, or backing up your roster). This permission ends when the content is deleted from the service, except for residual backup copies that purge on our standard cycle.
- We act as your club's service provider. We process personal information in club content on the club's behalf: only to provide and improve the service as described above, and as the club directs through its settings and these terms. We don't sell or share it, use it for any other purpose, or combine it with personal information from other sources except as the law allows a service provider to, and we bind our subprocessors to written limits on how they use it.
- We don't train AI models on your club's data.
- Export any time. Your member list, event guest lists, and dues and payment records download as spreadsheets, each from the screen it lives on.
- Club websites. Content a club publishes on its public site is published by the club. The club is responsible for it, including having rights to any photos, text, and logos it uses.
- Your promises about club content. You promise that your club has the rights it needs in the content it puts into LongTable and to grant the permission above; that the content doesn't infringe anyone's copyright, trademark, privacy, publicity, or other rights, or defame anyone; that it contains no malware; and that your club has any consent the law requires from each person whose name, photo, voice, or likeness appears in it (from a parent or guardian for a minor).
- Keep your own copies. We back up the service, but we don't promise to preserve every item of club content. Export the records that matter to your club regularly, and don't rely on LongTable as your only copy.
6. Your responsibilities for member data
Your club adds people to its roster, so the club, not LongTable, is responsible for that data being there legitimately. You agree that your club:
- has the right to add the member information it uploads or imports (members joined, applied, or otherwise expect the club to keep their info);
- uses member contact details to run the club, not to spam, sell the list, or message people who've opted out;
- will honor members' reasonable requests to correct or remove their information;
- gives members and others any privacy notice, and gets any consent, the law requires for collecting their information and for sharing it with service providers such as LongTable;
- protects member information it downloads or exports from LongTable with reasonable safeguards, and uses it only as the law and its own privacy notice allow;
- if it adds information about a child under 13 (or the age its local law sets), has the verifiable consent of the child's parent or guardian, will show us that consent if we ask, and promptly removes the child's information if the consent is withdrawn; and
- complies with laws that apply to it (for example, consent rules for texting members, CAN-SPAM/TCPA in the U.S., CASL in Canada, and any youth-data rules if the club rosters minors; see the Privacy Policy on children).
Information LongTable isn't built to hold. Don't put Social Security or Social Insurance numbers, driver's license or passport numbers, bank account numbers, or full payment card numbers into LongTable, whether in custom fields, notes, documents, or messages. Card payments belong in our payment partner's checkout. If a club stores this kind of information anyway, we may delete it, and the club is responsible for giving any notices the law requires of it, and for the costs a breach of that information causes.
7. Text messages (SMS)
Clubs can send text messages to their members through LongTable. This section is the terms of that program, LongTable club texts. It applies to anyone who agrees to get texts from a club.
- What you get. Texts a club sends its members via LongTable, such as event reminders, schedule changes, and notices from the club's officers. Each club texts from its own toll-free number, which only that club uses. The first text you get from a club after you agree starts with the club's name.
- How you sign up. You get texts from a club only after you agree to them yourself, by turning on the Text messages switch for that club in your LongTable profile or when you finish registering. You can also tell a club officer, in person, by phone, or on a paper form, that you agree, and the officer records it on your member record. A phone number on the roster, whether an officer adds it or imports it from a spreadsheet, does not sign you up on its own. Agreeing is optional. It isn't a condition of membership, of paying dues, or of any purchase.
- Message frequency varies by club.
- Message and data rates may apply under your mobile plan.
- To stop, reply STOP to any club text. You'll get one reply confirming it, and no more texts from that club's number until you reply START. You can also turn off that club's Text messages switch in your LongTable profile.
- For help, reply HELP to any club text, or write to us through our contact form.
- Carriers are not liable for delayed or undelivered messages.
- Your number. We use your mobile number to send the club texts you agreed to. We don't sell it, and we don't share your number or your agreement to texts with third parties or affiliates for their marketing. See our Privacy Policy.
8. Acceptable use
Your use of LongTable is subject to our Acceptable Use Policy, which is part of these terms. In summary, don't misuse the service. In particular, you won't:
- break the law, or use LongTable to harass, defraud, or harm anyone;
- send spam or unsolicited bulk messages through the email/SMS tools (message people who have a relationship with your club and honor opt-outs);
- upload malware, or probe, scan, or breach the security of the service or anyone else's club;
- access another club's data without authorization, or misrepresent your role in a club;
- use a club name, subdomain, or account to infringe a trademark, mislead people, or get around a suspension or ban;
- scrape the service at scale, resell it, or use it to build a competing membership database;
- publish content on a club site that is illegal, infringing, or deceptive.
We may remove content or suspend accounts that violate this section (see Suspension and termination). If a message-sending feature is being abused, we may throttle or pause sending while we investigate.
9. The assistant and AI features
- The assistant works from your club's real data and drafts events, reminders, newsletters, and reports on request. AI output can be wrong. Review it, especially anything involving money or messages to members.
- Outbound messages the assistant drafts don't send until a person approves them. When you approve an assistant action, it's your club's action, recorded in the club history like any officer's.
- Assistant availability may vary by plan, and we may set reasonable usage limits to keep it available for everyone.
10. Third-party services
Some features rely on third parties: payments (Stripe), sign-in with Google or Apple, document storage in Google Drive for clubs that turn it on, Google Analytics on club websites for clubs on the Pro plan or above that connect their own account, SMS carriers, and custom-domain DNS. Your use of a third-party service is governed by its own terms, and we're not responsible for third-party services we don't control, or for websites linked from LongTable or from club sites. If your club connects an outside AI assistant (for example Claude or ChatGPT) through our MCP server, your club chooses that assistant, its provider handles the club data the assistant requests under the provider's own terms, and an officer can disconnect it at any time. A club can turn Google Drive off in its settings. If your club connects its own Google Analytics account, your club is responsible for that account, its agreement with Google, and the notices and consents the law requires of it. For visitors in the EEA, the UK, and Switzerland, LongTable doesn't load your club's Google Analytics until the visitor accepts a consent notice that LongTable shows.
LongTable includes Google Maps features and content for address suggestions. Your use of those Google Maps features and content is subject to the then-current Google Maps/Google Earth Additional Terms and Google Privacy Policy.
11. LongTable's intellectual property
- The service (software, design, and the LongTable name and marks) belongs to us and our licensors. These terms don't grant you any right to them beyond using the service.
- Don't use the LongTable name, logo, or marks, including in a domain name or in hidden text such as meta tags, without our written permission, except to refer to the service accurately.
- If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without obligation or payment to you, and we have no duty to keep them confidential. This doesn't cover club content or personal information, which section 5 governs.
- If your club gives us a review or testimonial and agrees that we may publish it, we may use it with the name or attribution your club approves.
- Copyright notices (DMCA). LongTable's designated agent for notices of claimed infringement under the Digital Millennium Copyright Act (17 U.S.C. section 512) is the Copyright Agent, LongTable Systems LLC, whose contact details are listed in the U.S. Copyright Office's DMCA Designated Agent Directory. You can also send a notice through our contact form. A notice must include: (1) your physical or electronic signature; (2) the copyrighted work you say is infringed; (3) the material you say infringes, and where it is on LongTable (such as its URL); (4) information reasonably sufficient to contact you, such as your address, phone number, and email; (5) a statement that you believe in good faith the use isn't authorized by the copyright owner, its agent, or the law; and (6) a statement that the notice is accurate and, under penalty of perjury, that you're the owner or authorized to act for the owner.
- Counter-notices. If your club's content was removed and you believe it was removed by mistake or misidentification, you may send the agent a counter-notice with the information 17 U.S.C. section 512(g)(3) requires. We'll send a copy to the person who sent the original notice and tell them we'll restore the content in 10 business days. We'll restore it 10 to 14 business days after our agent receives the counter-notice, unless our agent first receives notice that they've filed an action seeking a court order to restrain the activity.
- Repeat infringers. In appropriate circumstances, we terminate the accounts of clubs and users who repeatedly infringe others' copyrights.
12. Suspension and termination
- By you: cancel any time. After cancellation (or free-plan account closure), your club has 90 days to export its data, after which we delete it as described in the Privacy Policy.
- By us: we may suspend or terminate an account for material breach of these terms, for abuse that risks the service or other clubs, for non-payment, or where the law requires. Except in urgent cases, we'll notify you and give you a chance to fix the problem first. Except where legally barred, you also keep the same export window. If we terminate an account for a violation, don't create a new account or club account without our written permission.
- Changes to the service: we may change, add, or remove features as the service evolves. If we remove a feature or materially reduce what a paid plan includes, we'll give paid clubs at least 30 days' notice where practical, and you can cancel before the change takes effect.
- Section 5 (your promises about club content), sections 6, 11, 13, 14, 15, 16, and 18, any fees owed, the restriction on new accounts in this section, and any other terms that by their nature should survive termination, survive.
13. Disclaimers
LongTable is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the service will be uninterrupted, error-free, or that AI output will be accurate. Nothing on LongTable is legal, tax, or financial advice to your club.
Club content and other users. Clubs and their members create the content on LongTable, and we don't endorse or verify it. We can't confirm that a person is who they say they are. We may monitor, review, and remove content, and investigate misuse of the service, but we have no obligation to. If we show a price in error, we may correct it, but we won't charge more than the price you accepted without your agreement. We don't warrant that the service, or anything downloaded from it, is free of viruses or other harmful code.
Responsibility for conduct. Each club, officer, and member is responsible for their own conduct, on LongTable and off it, including at club meetings and events. We're not responsible for the conduct of any club or user. We may, but don't have to, help with disagreements between members, or between a member and a club, except disagreements about money, which go through Stripe (see section 4).
14. Limitation of liability and release
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, or data, including damages resulting from unauthorized access to or alteration of data; and (b) LongTable's total liability arising out of the service is limited to the greater of the amounts your club paid us in the 12 months before the claim or $100. Some jurisdictions don't allow certain limits, so parts of this section may not apply to you. These limits don't apply to either party's fraud or willful misconduct, to the club's obligations under section 6 or section 15, or to anything that can't be limited by law.
Release. LongTable isn't part of the relationships between clubs and their members. To the extent the law allows, you release LongTable and its affiliates, officers, employees, and agents from claims, demands, losses, and damages of every kind, known and unknown, including for personal injury, death, and property damage, arising from the acts or omissions of any club, officer, or member, or from disputes between members, between a member and a club, or between clubs, online or at club activities. If you're a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you live elsewhere, you waive any similar law that applies to you. This release doesn't cover LongTable's own fraud, gross negligence, willful misconduct, or violation of law.
15. Indemnification
If a third party brings a claim (including an investigation or proceeding by a government authority) against LongTable or its affiliates, officers, employees, or agents arising from your or your club's content, use of the service in violation of these terms or the Acceptable Use Policy, violation of law (for example, a texting-consent claim, a copyright claim over club-site content, or a card-network fine or surcharge claim over fees the club passes on), or a security incident involving information the club stored in violation of section 6, you (and the club you act for) will defend and indemnify them against that claim, including damages, settlements, fines, penalties, and reasonable attorneys' fees and costs. We'll notify you promptly and let you control the defense, with counsel reasonably acceptable to us and with our reasonable cooperation. We may join the defense with our own counsel at our own expense, and if you don't defend the claim promptly, we may take over its defense at your expense. You may not settle a claim in a way that admits fault on LongTable's behalf or requires LongTable to do anything without our written consent.
16. Governing law, arbitration, and class-action waiver
Governing law. These terms are governed by the laws of the State of Washington, excluding its conflict-of-laws rules. The Federal Arbitration Act governs the agreement to arbitrate below.
Talk to us first. Before starting an arbitration or a court case, the party with the dispute sends the other a written notice describing it and the relief it wants (yours goes to us through our contact form; ours goes to the email on your account), and both parties try in good faith to resolve it informally for 30 days.
Arbitration. Any dispute between you and LongTable that arises out of or relates to these terms, the service, or LongTable's collection, use, or handling of personal information, and isn't resolved informally, will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its rules then in effect, including its Consumer Arbitration Rules and Mass Arbitration Supplementary Rules where they apply. A single arbitrator decides the dispute. Hearings take place in King County, Washington, or by video or written submissions. The arbitrator decides questions about the scope and enforceability of this agreement to arbitrate, except that a court decides whether the class-action waiver below can be enforced.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may ask a court for an injunction against misuse of intellectual property or unauthorized access to the service. Those cases, and any dispute this section doesn't send to arbitration, go exclusively to the state or federal courts in King County, Washington, and both parties consent to personal jurisdiction there.
Class-action waiver. You and LongTable each bring claims only individually, not as a plaintiff or class member in any class, collective, or representative proceeding, and an arbitrator may not consolidate claims or award relief to anyone other than the individual party. If a court decides this waiver can't be enforced for a claim, that claim goes to court and not to arbitration. To the extent the law allows, both parties waive a jury trial in any court case between them.
Opting out. You can opt out of arbitration and the class-action waiver by writing to us through our contact form within 30 days after you first accept these terms (for accounts that existed before this version took effect, within 30 days after it takes effect), with your name, your club's name, and a statement that you're opting out. Opting out doesn't change the rest of these terms. If you opted out before, your opt-out still applies.
Canadian consumers. If you're a consumer in a Canadian province whose law doesn't let you give up court proceedings or class actions in advance, such as Quebec or Ontario, the arbitration agreement and class-action waiver above don't apply to you, and your province's consumer protection law continues to apply.
Changes to this section. A change to this section doesn't apply to a dispute that either party had already given notice of.
Scope. This section covers disputes between you and LongTable. It doesn't cover disagreements about money between a club and the people it bills, which are between them and go through Stripe (see section 4).
17. Changes to these terms
We may update these terms as the service evolves. For material changes we'll give at least 30 days' notice by email or in-product notice; continuing to use LongTable after the effective date accepts the change. If you don't agree, cancel and export before the change takes effect. The current version always lives at this page.
18. Miscellaneous
- These terms plus the Acceptable Use Policy and the Privacy Policy (and any order/plan page you accept) are the entire agreement between us about the service.
- If a provision is unenforceable, the rest stays in effect.
- You may not assign these terms without our consent, except to a successor of your club; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of all or part of our business or assets.
- Notices. We may send notices to the email address on your account or show them in LongTable. A notice we send to that email address counts as given when we send it, even if the address is out of date, so keep it current. Send legal notices to us through our contact form.
- Early-access features. Features we label beta, preview, or early access may change or be withdrawn, may not work as expected, and are provided as is. Keep confidential any details about them that we ask you not to share.
- App stores. If you get a LongTable app from an app store, such as Apple's App Store or Google Play, these terms are between you and LongTable, not the app store. LongTable, not the app store, is responsible for the app, its maintenance and support, any warranty, and any claims about it, including product-liability, legal-compliance, and intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these terms as they apply to an app from Apple's App Store, and may enforce them.
- Our failure to enforce a provision isn't a waiver.
- Neither party is liable for delay or failure caused by events beyond its reasonable control.
